Confidentiality Agreement
This Confidentiality Agreement (“Agreement”) is entered into on this ____ day of ____________, 2025, by and between:
- SayPro, (“the Organization”), and
- [Research Participant Name] (“the Participant”), collectively referred to as “the Parties.”
1. Purpose of the Agreement
The Participant agrees to maintain confidentiality regarding any data, reports, research findings, or other confidential information (“Confidential Information”) shared during the SayPro Monthly January SCRR-39 research initiative. The goal is to ensure that all information collected during this project remains confidential and is used solely for the purposes of evaluating and improving SayPro’s educational programs.
2. Definition of Confidential Information
For the purposes of this Agreement, Confidential Information includes, but is not limited to:
- Research data (qualitative and quantitative).
- Program effectiveness reports and trend analysis results.
- Curriculum and course materials.
- Feedback forms from students, teachers, and administrators.
- Any other data or documentation shared during the research process.
Confidential Information does not include information that:
- Is or becomes publicly available without breach of this Agreement.
- Was already known to the Participant prior to its disclosure.
- Was independently developed by the Participant without the use of confidential information.
3. Obligations of the Participant
The Participant agrees to:
- Confidentiality: Keep all Confidential Information strictly confidential, ensuring that it is not shared with any third parties without prior written consent from SayPro.
- Restricted Use: Use the Confidential Information solely for the purpose of participating in and contributing to the SayPro Monthly January SCRR-39 research initiative.
- Non-Disclosure: Not disclose any Confidential Information to anyone other than authorized personnel within the organization or as specifically required for the research purposes.
4. Duration of Confidentiality
The obligations under this Agreement will remain in effect throughout the duration of the SayPro Monthly January SCRR-39 research initiative and for a period of two (2) years following its completion, unless otherwise agreed in writing by both parties.
5. Exceptions to Confidentiality
The Participant is permitted to disclose Confidential Information in the following circumstances:
- If required by law, regulation, or judicial order.
- If the Participant has obtained prior written consent from SayPro.
6. Return or Destruction of Confidential Information
Upon the conclusion of the research initiative, or upon request by SayPro, the Participant agrees to:
- Return all Confidential Information to SayPro or
- Destroy all Confidential Information in a secure manner, confirming its destruction in writing.
7. No License
Nothing in this Agreement grants the Participant any rights, title, or interest in any Confidential Information provided by SayPro, nor does it grant any rights to use intellectual property belonging to SayPro.
8. Breach of Agreement
In the event that the Participant breaches this Agreement, SayPro may take legal action to enforce the terms of the Agreement and seek appropriate remedies for any damages resulting from the breach.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of ____________, without regard to its conflict of laws principles.
10. Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the confidentiality of the research data and supersedes all prior discussions, understandings, or agreements related to the subject matter herein.
