This SayPro Education App Capacity Building Agreement (“Agreement”) is entered into as of [Date], by and between:

1. PARTIES

  • SayPro (“Company”), registered under Company Registration Number: 2018 / 537703 / 07, with its principal office at 167 14th Road, Midrand, Gauteng, South Africa, 1685, represented by Mr. Neftaly Vutisani Malatjie, Chief Executive Officer.
  • Partner/Institution (“You” or “Organization”), an educational institution, NGO, corporate entity, or individual engaging with SayPro to access capacity-building programs through the SayPro Education App.

2. PURPOSE OF AGREEMENT

This Agreement governs the use of the SayPro Education App, a platform designed to offer capacity-building programs, training, skill development, and educational resources for individuals, organizations, and communities.

3. SCOPE OF CAPACITY BUILDING

The Partner/Institution will have access to:

  • Online and offline training programs tailored to various educational and professional needs.
  • Workshops, webinars, and mentorship programs facilitated through the app.
  • Educational resources, toolkits, and research materials to enhance knowledge and skills.
  • Certifications and accreditation opportunities, where applicable.

SayPro reserves the right to update or modify its capacity-building offerings as required.

4. RESPONSIBILITIES OF THE PARTNER/INSTITUTION

The Partner/Institution agrees to:

  • Actively participate in training sessions and capacity-building initiatives.
  • Ensure that participants adhere to the learning guidelines and ethical standards.
  • Provide SayPro with relevant feedback to improve the platform and its offerings.
  • Not misuse or redistribute training materials without written permission from SayPro.

Failure to comply may result in suspension or termination of access to the platform.

5. PAYMENT, FEES & FUNDING

  • Some capacity-building programs may be free, while others may require subscription fees, sponsorships, or grant funding.
  • Payments must be made via [Bank Transfer, Credit/Debit Card, Mobile Payments, or other accepted methods].
  • Refunds are subject to SayPro’s refund policy, and fees may be non-refundable in certain cases.
  • SayPro does not guarantee funding or sponsorships for participants but may facilitate partnerships where possible.

6. INTELLECTUAL PROPERTY & USE OF MATERIALS

  • All training materials, resources, and content provided through the SayPro Education App remain the intellectual property of SayPro or its licensors.
  • The Partner/Institution may only use the materials for internal educational purposes.
  • Any reproduction, modification, or distribution of content without SayPro’s consent is strictly prohibited.

7. DATA PRIVACY & PROTECTION

  • SayPro processes user data in compliance with South African data protection laws (POPIA).
  • The Partner/Institution may not collect or share user data without explicit consent.
  • SayPro reserves the right to restrict access to any entity that violates data protection regulations.

8. LIABILITY & DISCLAIMERS

  • SayPro does not guarantee employment or business opportunities as a result of the training.
  • The Partner/Institution is responsible for ensuring participants meet the necessary learning requirements.
  • SayPro is not liable for any financial losses, damages, or disputes arising from participation in capacity-building programs.
  • SayPro may update, modify, or discontinue courses based on availability and demand.

9. TERMINATION & SUSPENSION

  • Either party may terminate this Agreement with 30 days’ written notice.
  • SayPro may suspend or terminate access if the Partner/Institution violates the terms of this Agreement.
  • Upon termination, the Partner/Institution must cease all use of SayPro’s materials and intellectual property.

10. DISPUTE RESOLUTION

  • Any disputes shall first be resolved through negotiation and mediation.
  • If unresolved, disputes will be settled through arbitration under South African law.

11. GENERAL PROVISIONS

  • Entire Agreement: This Agreement represents the full understanding between SayPro and the Partner/Institution.
  • Amendments: SayPro may update this Agreement with prior notice.
  • Severability: If any provision is found to be invalid, the remaining provisions will continue to apply.

12. ACCEPTANCE OF TERMS

By using the SayPro Education App, you acknowledge that you have read, understood, and agreed to this Agreement.
