2. PURPOSE OF AGREEMENT

This Agreement establishes the terms and conditions under which the Fundraiser may use the SayPro Non-Profit Fundraiser App to collect donations for its charitable activities.

3. PLATFORM USAGE & RESPONSIBILITIES

3.1 SAYPRO RESPONSIBILITIES

Provide a secure and reliable fundraising platform.
Facilitate donation transactions and maintain transparent financial records.
Offer customer and technical support to ensure smooth operation.
Disburse collected funds to the Fundraiser as per agreed terms.

3.2 FUNDRAISER RESPONSIBILITIES

Provide accurate organizational and financial details.
Use funds collected via the SayPro platform solely for the stated charitable purpose.
Ensure compliance with local laws and financial reporting obligations.
Maintain ethical and legal fundraising practices.
Keep donor data confidential and comply with data protection regulations.

4. PAYMENT PROCESSING & DISBURSEMENT

Donations will be processed through SayPro’s payment system.
A transaction fee of [Percentage] % shall be deducted from each donation for platform maintenance.
Funds shall be disbursed to the Fundraiser’s designated bank account on a [Frequency] basis.
SayPro reserves the right to withhold payments in case of suspected fraud or misuse.

5. TAXES & LEGAL COMPLIANCE

The Fundraiser is responsible for any applicable taxes related to the funds received.
SayPro shall comply with all necessary financial regulations and reserve the right to audit the Fundraiser’s activities if misuse is suspected.

6. INTELLECTUAL PROPERTY & BRAND USAGE

The Fundraiser is granted a non-exclusive license to use the SayPro platform and branding for legitimate fundraising purposes.
SayPro retains all ownership rights to its platform, trademarks, and intellectual property.
The Fundraiser must not misrepresent its association with SayPro.

7. DATA PROTECTION & CONFIDENTIALITY

Donor and fundraiser information shall be protected under applicable data protection laws.
The Fundraiser must not share, sell, or misuse donor information.
Any breaches in data security must be reported to SayPro immediately.

8. TERMINATION

Either party may terminate this Agreement with [Notice Period] days’ written notice.
SayPro may terminate this Agreement immediately in case of non-compliance, fraud, or legal violations.
Upon termination, the Fundraiser shall cease all usage of the SayPro platform and branding.

9. DISPUTE RESOLUTION

Any disputes shall first be resolved through negotiation.
If unresolved, disputes shall be referred to mediation or arbitration in South Africa.
The legal jurisdiction governing this Agreement shall be South African law.

10. GENERAL PROVISIONS

Entire Agreement: This document constitutes the full agreement between the parties.
Amendments: Changes must be in writing and signed by both parties.
Severability: If any clause is deemed invalid, the remaining terms shall remain in effect.
