    7. Intellectual Property

    7.1 Ownership of Intellectual Property:
    All intellectual property related to the Products/Services, including patents, trademarks, copyrights, and trade secrets, shall remain the sole property of the Buyer unless otherwise specified in writing.

    7.2 License for Use:
    The Supplier grants the Buyer a non-exclusive, transferable, and worldwide license to use any intellectual property supplied as part of the Products/Services for the duration of the Agreement.


    8. Dispute Resolution

    8.1 Negotiation:
    In the event of a dispute, the Parties agree to first attempt to resolve the dispute through good-faith negotiations.

    8.2 Mediation:
    If the dispute cannot be resolved through negotiations, the Parties agree to submit to mediation before resorting to litigation.

    8.3 Arbitration:
    If mediation fails, any disputes arising under this Agreement shall be resolved through arbitration in accordance with the rules of [Arbitration Organization], and the decision of the arbitrator(s) shall be binding.


    9. Miscellaneous

    9.1 Amendments:
    This Agreement may be amended only by a written document signed by both Parties.

    9.2 Assignment:
    Neither Party may assign this Agreement without the prior written consent of the other Party, except that the Buyer may assign this Agreement without consent to any affiliate or successor entity.

    9.3 Entire Agreement:
    This Agreement, together with all attached Exhibits, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.

    9.4 Severability:
    If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
