This Vendor App Agreement (“Agreement”) is made and entered into on [Date], by and between:

2. PURPOSE OF AGREEMENT
- SayPro operates an online Vendor App that allows businesses to list and sell their products and services.
- The Vendor wishes to register on the SayPro platform to offer [Specify Goods/Services] to customers.
- This Agreement outlines the terms and conditions governing the Vendor’s use of the SayPro Vendor App.
3. VENDOR REGISTRATION AND APPROVAL
- The Vendor must complete the registration process on the SayPro App.
- The Vendor agrees to provide accurate and up-to-date business information.
- SayPro reserves the right to approve, reject, or suspend a Vendor’s account at its discretion.
4. SCOPE OF VENDOR SERVICES
The Vendor agrees to:
- List only legal, authentic, and high-quality goods/services.
- Maintain accurate pricing, descriptions, and availability.
- Deliver products/services on time as agreed with customers.
- Handle customer queries, complaints, and refunds professionally.
- Comply with SayPro’s policies, South African consumer protection laws, and tax regulations.
SayPro reserves the right to remove any product/service that violates legal, ethical, or quality standards.
5. PRICING, PAYMENTS, AND COMMISSIONS
5.1 Pricing
- The Vendor sets its own pricing for products/services.
- SayPro may offer promotions and discounts in consultation with the Vendor.
5.2 Commission Structure
- SayPro shall deduct a commission of [Specify %] per transaction before transferring payments to the Vendor.
5.3 Payment Processing

6. VENDOR RESPONSIBILITIES AND CODE OF CONDUCT
The Vendor agrees to:
- Operate legally and ethically.
- Maintain high standards of customer service.
- Avoid misleading advertising or fraudulent activities.
- Ensure timely delivery and order fulfillment.
- Keep SayPro informed of any business changes.
- Comply with data protection laws and confidentiality agreements.
Failure to comply may result in suspension or termination of the Vendor’s account.
7. INTELLECTUAL PROPERTY RIGHTS
- The Vendor grants SayPro a non-exclusive, royalty-free license to display its business name, logo, images, and descriptions on the Vendor App.
- SayPro retains all rights to the platform, trademarks, and digital infrastructure.
8. DATA PRIVACY AND CONFIDENTIALITY
- The Vendor must protect customer information and use it only for order fulfillment.
- The Vendor must not share, sell, or misuse customer data.
- Any data breach must be reported to SayPro within 24 hours.
9. DISPUTE RESOLUTION
- Any disputes between the Vendor and SayPro shall first be resolved through negotiation.
- If unresolved, disputes shall be settled through mediation or arbitration in South Africa.
- Legal jurisdiction shall be South African law.
10. TERMINATION AND SUSPENSION
10.1 Vendor Account Suspension
SayPro may suspend a Vendor’s account if they:
- Sell prohibited or illegal items.
- Fail to deliver orders or receive excessive customer complaints.
- Engage in fraudulent activities or policy violations.
10.2 Contract Termination
- Either party may terminate this Agreement with [Specify notice period, e.g., 30 days] written notice.
- SayPro may terminate the contract immediately if the Vendor engages in misconduct, fraud, or policy violations.
Upon termination, the Vendor must remove all listings and fulfill outstanding orders.
11. GENERAL PROVISIONS

- Amendments: Any changes must be in writing and signed by both parties.
- Severability: If any clause is deemed invalid, the rest of the Agreement remains enforceable.
